1. Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you (or the business you represent, "Customer") and SaasyVoice Inc. ("SaasyVoice," "we," "us," or "our") governing your access to and use of the SaasyVoice platform, website at saasyvoice.ai, and application at https://app.saasyvoice.ai (collectively, the "Service").

By creating an account, clicking "I agree," or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

SaasyVoice is an AI-powered voice agent platform that enables businesses to:

  • Create and deploy AI voice agents for inbound and outbound phone calls
  • Provision phone numbers and configure call routing
  • Integrate voice agents with external tools (calendars, CRMs, webhooks, etc.)
  • Access call transcripts and analytics
  • Run automated outbound calling campaigns

The Service is provided on a subscription basis. Features, limits, and pricing vary by plan. We reserve the right to modify or discontinue features with reasonable notice.

3. Accounts & Access

Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

Account Security

You are responsible for maintaining the security of your account credentials. You agree to notify us immediately if you become aware of any unauthorized access to your account. We are not liable for any loss or damage resulting from unauthorized access due to your failure to maintain credential security.

Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. The Service is intended for business use only and is not directed at consumers for personal use.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not use the Service to:

  • Violate any applicable federal, state, local, or international law or regulation
  • Place calls to numbers on the National Do Not Call (DNC) registry without proper consent
  • Conduct telephone fraud, spamming, phishing, or other deceptive practices
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Harass, intimidate, threaten, or harm any person
  • Transmit any content that is unlawful, defamatory, obscene, or otherwise objectionable
  • Circumvent, disable, or interfere with security-related features of the Service
  • Use the Service to make robocalls to consumers in violation of the Telephone Consumer Protection Act (TCPA) or similar laws
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Access the Service through automated means (e.g., scrapers, bots) except via our official API
  • Resell or sublicense access to the Service without our written permission

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and may expose you to legal liability.

5. Call Transcription & Legal Compliance

You are solely responsible for ensuring that your use of SaasyVoice complies with all applicable laws governing telephone calls, call transcription, and AI-generated communications.

Transcription Consent

The Service transcribes all calls handled by your AI agents by default. Capturing the content of telephone conversations — whether as audio or as text — is regulated by law. Federal law (18 U.S.C. § 2511) generally requires one-party consent, but many U.S. states require all-party consent (e.g., California, Illinois, Florida, and others) before a conversation may be intercepted or transcribed.

You are responsible for:

  • Determining the consent requirements in every U.S. state where your agents place or receive calls
  • Configuring your agents to provide appropriate disclosures to callers (e.g., "This call is handled and transcribed by an AI system")
  • Obtaining any required consents before initiating or accepting transcribed calls

TCPA & Telemarketing Compliance

If you use SaasyVoice for outbound calling, you are responsible for compliance with the Telephone Consumer Protection Act (TCPA), the FTC's Telemarketing Sales Rule (TSR), the National Do Not Call Registry, and any applicable state telemarketing laws. SaasyVoice provides no legal guarantees regarding TCPA compliance and is not liable for your use of outbound calling features.

AI Disclosure

Several U.S. states have enacted or are enacting laws that require disclosure when a caller is interacting with an AI system. You are responsible for monitoring and complying with such requirements in each state where you operate. We recommend your agents clearly identify themselves as AI assistants at the start of each call.

6. AI Processing & Data Analysis

By using SaasyVoice, you acknowledge and agree that we analyze call transcripts and conversation data to improve our AI models, fix bugs, and develop new features.

Specifically, you grant SaasyVoice a non-exclusive, royalty-free license to use conversation data (call transcripts and interaction logs) for the following purposes:

  • Operating and delivering the Service to you
  • Improving the quality, accuracy, and performance of our AI voice agents
  • Identifying and fixing bugs and errors in agent behavior
  • Understanding which features are valuable and which should be deprecated
  • Developing new product features and capabilities
  • Training and fine-tuning AI models used in the Service
  • Generating aggregated, anonymized benchmarks and product insights

This license does not grant us the right to sell your customer data to third parties or use it in ways inconsistent with our Privacy Policy.

If your end users (callers) interact with your AI agents, you are responsible for ensuring those users have been adequately informed about AI processing as required by applicable law, and for obtaining any required consents.

7. Payment & Billing

Subscription Plans

The Service is offered on a subscription basis. Pricing, features, and usage limits are described on our pricing page and may vary by plan. By subscribing, you authorize us to charge the payment method on file at the rates applicable to your chosen plan.

Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis depending on your plan. Usage-based charges (e.g., per-minute call costs, additional phone numbers) are billed in arrears at the end of each billing period.

Free Tier & Trials

We may offer a free tier or trial period. Free tiers are subject to usage limits and may be modified or discontinued at any time. Trial periods automatically convert to a paid subscription at the end of the trial unless cancelled.

Refunds

Subscription fees are non-refundable except as required by applicable law or as explicitly stated in our billing terms. If you cancel your subscription, you retain access to the Service until the end of your current billing period.

Price Changes

We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing period following at least 30 days' notice.

Taxes

You are responsible for all applicable taxes, levies, and duties imposed by taxing authorities. Prices do not include taxes unless stated otherwise.

8. Intellectual Property

SaasyVoice IP

The Service, including all software, AI models, designs, text, graphics, interfaces, and content created by SaasyVoice, is owned by SaasyVoice and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology except for the limited right to use the Service as described herein.

Your Content

You retain ownership of content you create and upload, including agent prompts, configurations, and any data you import. You grant SaasyVoice a limited license to use this content solely to provide the Service to you and as described in Section 6.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use that feedback without any obligation to you.

9. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information").

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or court order.

10. Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that:

  • The Service will meet your specific requirements or be available at all times
  • AI agents will perform perfectly, accurately, or as expected in all situations
  • Call transcripts will be 100% accurate
  • The Service will be free from errors, bugs, or security vulnerabilities

AI voice agents may make mistakes, misunderstand callers, or behave unexpectedly. You are responsible for reviewing agent performance, providing appropriate human oversight, and ensuring that AI-agent interactions meet your business and legal requirements.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SAASYVOICE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT WILL SAASYVOICE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SAASYVOICE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless SaasyVoice and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including privacy rights
  • Your failure to comply with applicable call transcription or telemarketing laws
  • Content transmitted through your AI agents

13. Termination

Termination by You

You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your account immediately, without notice or liability, if:

  • You breach these Terms or our Acceptable Use Policy
  • We determine that your use of the Service creates legal, security, or reputational risk
  • Required by applicable law
  • Your account is inactive for an extended period

Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a reasonable period (typically 30 days) following termination, after which we may delete it. Provisions of these Terms that by their nature should survive termination will continue to apply.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, with proceedings conducted in English.

You waive your right to participate in a class action lawsuit or class-wide arbitration against SaasyVoice. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.

15. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice in the application at least 14 days before the changes take effect. The "Last updated" date at the top reflects the most recent revision.

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
